Welcome to ConvoAgent. These Terms of Service ("Terms") govern your access to and use of ConvoAgent's website, products, and services ("Services"). By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Services.

Please read these Terms carefully before using our Services. These Terms constitute a legally binding agreement between you and ConvoAgent, Inc. ("ConvoAgent," "we," "us," or "our").

1. Service Usage

1.4 Subscription and Billing

If you subscribe to our paid Services, you agree to pay all fees associated with the subscription plan you select. All fees are non-refundable unless otherwise specified. We may change our fees at any time, but any fee changes will not apply to you until the end of your current billing cycle.

2. User Responsibilities

2.1 Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to use our Services:

• In any way that violates any applicable federal, state, local, or international law or regulation
• To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation
• To impersonate or attempt to impersonate ConvoAgent, a ConvoAgent employee, another user, or any other person or entity
• To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Services, or which may harm ConvoAgent or users of the Services

2.2 Content Guidelines

You are solely responsible for all content that you upload, post, email, transmit, or otherwise make available via our Services ("User Content"). You represent and warrant that:

• You own or have the necessary licenses, rights, consents, and permissions to use and authorize ConvoAgent to use all User Content
• The User Content does not infringe upon the intellectual property rights of any third party
• The User Content does not contain any material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable

2.3 Security

You agree not to circumvent, disable, or otherwise interfere with security-related features of our Services or features that prevent or restrict use or copying of any content or enforce limitations on the use of our Services or the content therein.

3. Limitations of Liability

3.1 Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT OUR SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

3.2 Limitation of Liability

IN NO EVENT WILL CONVOAGENT, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, OUR SERVICES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

3.3 Exclusions

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for certain types of damages. Therefore, some of the above limitations may not apply to you.

4. Intellectual Property Rights

4.1 ConvoAgent Content

The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by ConvoAgent, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

4.2 License to Use Services

Subject to these Terms, ConvoAgent grants you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your personal or internal business purposes.

4.3 User Content License

By posting, uploading, or otherwise making available any User Content on or through our Services, you grant ConvoAgent a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content in connection with providing and promoting our Services.

4.4 Feedback

If you provide us with any feedback or suggestions regarding our Services ("Feedback"), you hereby assign to ConvoAgent all rights in such Feedback and agree that ConvoAgent shall have the right to use and fully exploit such Feedback in any manner it deems appropriate.

5. Termination Conditions

5.1 Termination by ConvoAgent

We may terminate or suspend your account and access to our Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Services will immediately cease.

5.2 Termination by You

You may terminate these Terms at any time by canceling your account and discontinuing use of our Services. You are responsible for properly canceling your account, and we are not responsible for any failure on your part to properly cancel your account.

5.3 Effect of Termination

All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

6. Dispute Resolution

6.1 Governing Law

These Terms and your use of the Services shall be governed by and construed in accordance with the laws of the State of California, without giving effect to any choice or conflict of law provision or rule.

6.2 Arbitration

Any dispute arising from or relating to these Terms or our Services shall be resolved by final and binding arbitration under the rules of the American Arbitration Association. The arbitration will be conducted in San Francisco, California, unless you and ConvoAgent agree otherwise. Each party will be responsible for paying any filing, administrative, and arbitrator fees in accordance with the rules of the American Arbitration Association.

6.3 Class Action Waiver

YOU AND CONVOAGENT AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

6.4 Time Limitation

You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of our Services or these Terms must be filed within one (1) year after such claim or cause of action arose or be forever barred.

7. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, you are no longer authorized to use the Services.
